Due diligence is the investigation a buyer conducts before closing a deal, spanning financial, legal, commercial, tax, operational, and increasingly IT and cyber matters. The goal is to confirm the investment thesis, surface risks, and validate the numbers behind the price. Findings can adjust the price, reshape the deal, or kill it entirely.
