SPV (Special Purpose Vehicle)

An SPV is a standalone legal entity created to hold a single investment or a specific set of assets, ring-fencing it from other liabilities. In PE, SPVs are commonly used to structure a single deal, house co-investors, or hold debt for one acquisition. Each portfolio company is often owned through its own SPV or holding-company stack.
