MFN (Most Favored Nation)

An MFN clause lets certain LPs review the side-letter terms other investors received and elect to adopt comparable benefits, usually if their commitment is at least as large. It prevents a GP from quietly giving better terms to some investors. The MFN process typically runs after a fund's final close.
